Scope of the Terms: These Terms of Use, henceforth referred to as "Terms", dictate the rules for using our websites, applications, and other products and services, collectively referred to as "Services". It is important to note that some of our services may involve software downloads to your devices such as computers, phones, or tablets. We reserve the right to automatically update this software, and these updates are governed by these Terms. We encourage users to read these Terms meticulously and reach out to us for any inquiries, information requests, or grievances.
Acceptance of the Terms: By clicking on "I accept" or, for those who have not registered an account, by using our services, you agree to adhere to these Terms and any policies mentioned herein. Your use of our services indicates your agreement to be bound by these terms and referenced policies.
Legal Notice: These Terms contain an arbitration agreement and a waiver for class action that applies to all claims made against Namasam. We urge users to review these clauses carefully, as they have implications on your legal rights. However, these clauses will not be enforced if they are found to be invalid under the laws of the country you reside in.
Section 1: Using Namasam
Eligibility to Use Our Services: This section delineates the criteria that determine who is permitted to use our services.
Eligibility Criteria for Using Namasam Services
Minimum Age Requirement: Namasam strictly prohibits the use or access of its services by individuals under the age of 13.
User Obligations: In order to use our services, you must meet the following criteria:
Be capable of forming a legally binding contract with Namasam.
Adhere to these Terms, comply with all relevant laws, and follow our policies, including but not limited to the Acceptable Use Policy, Honor Code, and course-specific eligibility requirements. These policies might change over time and are collectively referred to as "Policies".
Be older than the minimum age required to consent to data processing under the laws of your country of residence. It's worth noting that specific regions and content offerings may impose additional requirements or different age restrictions.
Consequences of Violations: Violating any of our Terms, applicable laws, or Policies might result in the suspension, disablement, or termination of your access to part or all of our services.
Account Information: When setting up your Namasam account and when utilizing certain features, you are required to provide accurate and complete information. You also commit to updating this information to maintain its accuracy and completeness.
Section 2: Licensing Terms
User License: Subject to adherence to these Terms and our Policies, we grant users a limited, personal, non-exclusive, non-transferable, and revocable license to use our services. This license is granted solely for personal, non-commercial use, unless we provide express written permission for other types of use. Users agree to create, access, and/or use only one user account, except where Namasam explicitly allows more. Sharing access to your account or the account access information with a third party is prohibited. Additionally, using our services does not confer ownership or any intellectual property rights regarding our services or the content accessed through them.
Commercial Use: This section will discuss the terms regarding the commercial use of our services.
Prohibition of Commercial Use
Restrictions on Commercial Use: The usage of our services for commercial objectives is strictly prohibited. Any potential commercial use necessitates a separate agreement with Namasam, Inc. For more details, please refer to our Enterprise page. In case your organization is already utilizing our services, distinct terms are applicable. These terms do not dictate the relationship between your organization and Namasam.
Section 2: Content Offerings
Modifications to Content Offerings:
Namasam collaborates with universities and other entities, referred to as "Content Providers", to offer courses and other content, collectively termed "Content Offerings". We strive to deliver top-notch content offerings from our content providers, but unforeseen circumstances can happen. Namasam retains the right to cancel, interrupt, reschedule, or modify any content offerings or alter the point values or weights of assignments, quizzes, or other assessments, either autonomously or following instructions from content providers. These changes are subject to the disclaimers and limitation of liability clauses outlined in subsequent sections.
Academic Credit Policies:
Namasam does not confer academic credits upon the completion of content offerings.
Except where a credit-granting institution explicitly indicates, neither participation nor completion of content offerings guarantees academic credits.
Even when one institution grants credit, it is not guaranteed that other institutions will recognize that credit.
Users are not allowed to claim credit for completing a content offering unless they have received a course certificate or equivalent documentation proving their completion of the content offering.
There is no obligation on Namasam, the instructors, or the affiliated content providers to have the content offerings acknowledged by any educational institution or accreditation body.
Disclaimer Concerning Student-Content Provider Relations:
Except for what is described in the Degree, MasterTrack, and University Certificate Programs section that will be detailed later, these terms or any other aspect concerning your engagement in any content offerings from content providers:
Do not establish any relationship between you and any content provider;
Do not enroll or register you in any institution affiliated with a content provider or in any content offering facilitated by such an institution;
Do not grant you the right to utilize the resources of any content provider institution beyond what is necessary for participation in the content offering.
Section 3: Your Contributions
User Contributions: This section will discuss the content contributed by users while using the services. Definition of User Content:
The services provided by Namasam allow you to share your personal content, which might include homework, quizzes, exams, projects, and other assignments you submit, as well as posts you make in the forums, collectively referred to as "User Content". You maintain all intellectual property rights in and bear responsibility for the User Content you create and share. It is important to note that User Content does not encompass course content or other materials that are made available on the Namasam platform by or on behalf of content providers or their instructors using the services or content offerings. The rights pertaining to such content offerings are determined by the agreements between Namasam and the content providers.
Usage Rights of Namasam and Others on User Content: In instances where you provide User Content, you grant Namasam a fully transferable, royalty-free, perpetual, sublicensable, non-exclusive, worldwide license to utilize the User Content in various ways. This includes the right to copy, distribute, modify, create derivative works, publicly perform, publicly display, and other forms of usage. Additionally, Namasam is granted the right to authorize content providers to use the User Content with their enrolled students, including on-campus and other independent learners, outside the confines of the services. These rights do not limit any other legal rights that Namasam might have over the User Content, possibly through other licenses. Namasam also reserves the right to remove or modify User Content for any reason, including if it violates these Terms or other policies such as the Acceptable Use Policy and Code of Conduct.
Feedback: Namasam appreciates your suggestions, ideas, comments, and other feedback about the services, which are collectively referred to as "Feedback". By providing Feedback, you grant Namasam the unconditional right to use it without any restrictions or obligations of compensation to you. This right is not waived by Namasam even if similar or related feedback was previously known to Namasam, developed by its personnel, or obtained from other sources.
Section 4: Security Measures
Security Concerns: Namasam prioritizes the security of its users and takes measures to protect the security of your account and related information. However, it cannot guarantee complete protection against unauthorized third parties who might bypass these security measures. In case of any compromise or unauthorized use of your account, you are urged to inform Namasam immediately by emailing security@namasam.com or submitting a report via HackerOne.
Section 5: Third-Party Content
Access to Third-Party Content: The services enable you to access and/or use content provided by instructors, other users, and/or third parties, as well as links to websites and services maintained by third parties. However, Namasam cannot assure that such third-party content, whether within the services or elsewhere, will be devoid of material you may find objectionable or otherwise inappropriate, or that it will not contain malware or other harmful elements that might damage your computer, mobile device, or any files contained therein. Namasam renounces any responsibility or liability pertaining to your access or use of, or inability to access or use, such third-party content.
Section 6: Copyright and Trademark Policies
Respect for Intellectual Property Rights: Namasam holds a deep respect for the intellectual property rights of its users, content providers, and other third parties, and expects its users to reciprocate this respect while utilizing the services. To this end, Namasam has formulated and enforced the Namasam Copyright and Trademark Policy in accordance with the prevailing laws, including the Digital Millennium Copyright Act.
Section 7: Educational Research
Commitment to Educational Research: Namasam is actively engaged in furthering the science of learning and teaching. In this pursuit, records of your participation in courses might be utilized for educational research. This endeavor may expose you to variations in the content offerings. Any research findings will generally be reported at an aggregate level to maintain confidentiality, and your personal identity will not be disclosed publicly in any research findings without your explicit consent.
Section 8: Paid Services Offered by Namasam
Details of Paid Services: Namasam offers certain services, such as course certificates for specific courses, at a charge. Unless specified otherwise, the fees for these services are quoted in the local currency. Users are obligated to settle all fees levied by or for Namasam, along with the applicable taxes, in a timely manner using an appropriate payment method linked to the paid services in question. In case of payment failure or overdue accounts, Namasam retains the right to employ other collection mechanisms. It should be noted that the fees might vary based on various factors including your location, and Namasam reserves the unilateral right to modify any fees at any time. Changes to the fee structure will be implemented immediately upon posting through the relevant services. The possibility of refunds for paid services is outlined in the Payments and Refund Policy discussed later in the document.
Specialized Programs: Degree, MasterTrack, and University Certificate Programs
Program Details and Policies: The services offered by Namasam may facilitate your enrollment in specialized programs such as Degree, MasterTrack, and University Certificate programs, which are conducted by our content providers on the Namasam platform. These content providers act as the distance education providers for these programs and dictate policies regarding admissions, refunds, and graduation or completion requirements. The terms documented here do not limit the applicability of any institutional policies established by our content providers in connection with these programs (e.g., student codes of conduct); such policies complement these terms and will prevail in case of any conflict, governing the relationship between you and the content provider.
Tuition and Fee Policies: Depending on the specific program, the tuition and fees might be collected either by Namasam or our content partners. In the event of payment failure or overdue accounts, either Namasam or our content partners have the right to employ other collection mechanisms to recover the dues. It is important to note that the tuition and fees might vary based on factors such as your location, and both Namasam and its content partners reserve the right to alter any tuition and fees for future semesters or equivalent payment periods at their discretion. Refund policies are elaborated in our Refund Policy discussed later. Users are encouraged to evaluate whether the tuition and fees associated with content offerings align with their professional and financial goals before enrolling.
Professional Qualifications: Users should be aware that the requirements for professional licensure, certification, and job prerequisites might differ across states and countries, and may also vary between employers. Namasam does not assure licensure, certification, or qualification for any profession or job based on the completion of a content offering on the Namasam platform. Users are urged to investigate and comply with the requirements prevalent in their respective states or countries, and to ascertain whether the content offerings they intend to enroll in meet their academic and/or professional needs prior to enrollment.
Section 9: Changes or Termination of Services
Adaptations to Our Services: Namasam is continually evolving, enhancing, and improving its services. As part of this process, we might introduce or eliminate certain functions, features, or requirements, and we might temporarily suspend or permanently cease a portion or all of our services. Consequently, Namasam has the right to terminate your access to any service for any reason. If your access to a paid service is terminated, you might be eligible for a refund as per our Refund Policy. Due to various reasons, including export control regulations and internet access restrictions imposed by governments, we might not be able to offer our services in certain regions or countries. The Namasam parties, comprising Namasam, its content providers and instructors, contributors, sponsors, business partners, and their respective employees, contractors, and agents, assume no liability for any such actions. While we would regret to see you leave, you have the right to stop using our services at any time.
Section 10: Disclaimers
Disclaimer of Warranties: To the fullest extent permitted by law, the services and all included content are provided on an "as is" basis without any warranties, whether explicit or implied. The Namasam parties categorically disclaim all warranties and conditions, including those pertaining to merchantability, fitness for a specific purpose, and non-infringement, as well as those arising from the course of dealing or usage of trade. Moreover, the Namasam parties renounce any liability related to your access or use of the services or any associated content. You acknowledge and agree that accessing or using the services or such content is at your own risk.
Section 11: Limitation of Liability
Liability Restrictions: In accordance with the maximum limits allowed by law, the Namasam parties shall not be held liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. This also extends to any loss of data, use, goodwill, or other intangible losses resulting from various circumstances, including your inability to access or use the services, any conduct or content of any party other than the applicable Namasam party, any defamatory, offensive, or illegal conduct, or any unauthorized access, use, or alteration of your content or information. The total liability of Namasam for all claims related to the services shall not exceed the greater of twenty U.S. dollars ($20) or the total amount of fees received by Namasam from you for the use of paid services during the past six months.
Acknowledgement of Risk Allocation: You acknowledge and agree that the disclaimers and the limitations of liability outlined in these terms of use represent a reasonable and fair allocation of risk between you and the Namasam parties. These limitations are pivotal to Namasam's ability to offer the services to you on an economically viable basis.
Time Frame for Legal Actions: You agree that any legal actions related to the services must be initiated within one (1) year after the cause of action arises. Failing this, such cause of action is permanently barred.
Section 12: Compliance with Export Controls
Export Control Compliance: You assure that you are not situated in, or ordinarily residing in, any country that is subjected to relevant U.S. laws and regulations that prohibit Namasam from granting you access to the services. Your location is determined based on your physical location. Utilizing virtual private network services, IP routing services, or other similar services with the intent to evade these laws is strictly prohibited.
You assure that you are not listed on any government-imposed prohibited, denied, unverified-party, sanctions, debarment, or exclusion list, or any list related to export controls (collectively referred to as “Sanctions Lists”). In the event that you find yourself on any Sanctions List, you commit to ceasing the use of the services immediately. Furthermore, you warrant that you will not engage in any activity that involves exporting, re-exporting, or transferring the services to an entity on any Sanctions List, or using the services in a manner that contravenes applicable laws.
Consequences of Breach: Despite any contrary provisions in these Terms, Namasam reserves the right to terminate any further obligations towards you with immediate effect if you breach the obligations outlined in this section.
Section 13: Indemnification
User Indemnification: You agree to indemnify, defend, and hold the Namasam Parties harmless against any and all claims, liabilities, expenses, and damages, including reasonable attorney fees and costs, which may be raised by a third party in connection to: (a) your use or attempted use of the services in violation of these Terms; (b) your violation of any law or the rights of any third party; or (c) User Content, especially any claims of infringement or misappropriation of intellectual property or other proprietary rights.
Section 14: Governing Law and Jurisdiction
Jurisdiction Based on User Location: The governing laws and jurisdictions for the services managed by Namasam vary based on user location:
For users outside the European Union or the United Kingdom: The services are managed by Namasam, Inc., located in Santa Clara County, California. You agree that the laws of the State of California, excluding its conflict of law provisions, govern these Terms. In case of any disputes arising from these Terms, which are not subject to binding arbitration, both parties agree to submit to the jurisdiction and exclusive venue of the federal and state courts situated in and serving Santa Clara County, California.
For users in the European Union or the United Kingdom: The services are overseen by Namasam Europe B.V. You agree that these Terms will be governed by the laws of the Netherlands, excluding its conflict of law provisions.
Consumer Protections: This section does not deprive you of any mandatory consumer protections under the law of the country where the services are directed to you, and where you have your habitual residence.
Section 15: Binding Arbitration and Class Action Waiver
Agreement to Arbitration: Both you and Namasam agree to resolve any disputes, claims, or controversies through binding arbitration. This includes any kind of dispute, whether grounded on statute, regulation, constitution, common law, equity, or any other legal basis or theory, and encompasses both current and future disputes that are related to our services, these Terms, or any other relationship or dispute between you and us. This also covers disputes regarding the scope, applicability, or enforceability of these Terms and this arbitration provision, including relationships with third parties who are not signatories to these Terms or this arbitration provision, to the maximum extent permitted by law. Procedure for Arbitration: Any and all claims will be processed for binding arbitration adhering to the Consumer Arbitration Rules of the American Arbitration Association (AAA), denoted as the “AAA Rules”. These rules, which are subject to amendments and are operative at the time the arbitration initiates, can be accessed online or by contacting the AAA. This document incorporates these rules by reference. In case of discrepancies between this arbitration provision and the AAA Rules, the arbitration provision will prevail. If you opt to initiate arbitration, you are responsible for the payment of an initiation fee of $200, with Namasam covering the remaining initiation costs and any additional deposit required by AAA to commence your arbitration. Namasam will bear the expenses of the arbitration process, including arbitrator’s fees, but other expenses like attorney’s fees and travel costs for the arbitration will be addressed as per the AAA Rules and applicable law. Namasam covers all costs if it initiates the arbitration. A neutral arbitrator, selected according to the AAA Rules, will preside over the claims.
Arbitrator Qualifications: The arbitrator should be an active member of the bar in any state in the continental United States, with a minimum of five years of active law practice or be a retired judge. The arbitrator is required to respect privileges recognized by law. Each party is responsible for their respective attorney, expert, and witness fees, unless stated otherwise, irrespective of the outcome of the arbitration. The arbitration will take place in the federal judicial district of your residence, offering you an opportunity to attend and express your standpoint. The arbitrator’s decision is final and binding, enforceable in any competent federal or state court.
Severability and Waiver: Any unenforceable segment of this section may be severed by a court, except for provisions regarding the handling of claims on a class or representative basis. The remainder of the arbitration provision remains valid and enforceable. Waivers of any part of this section need to be documented in writing and signed by the waiving party, without affecting any other part of the terms.
Restriction of Rights: This section restricts certain rights including the right to pursue a court action, to a jury trial, to participate in class or representative claims, and to undertake discovery except as stipulated in the AAA Rules. Some rights that would be available in court may not be accessible in arbitration.
Section 16: General Terms
Amendments to the Terms: Namasam retains the right to amend the Terms at any time solely at its discretion. The revised terms become effective immediately upon being posted by us. For significant changes, Namasam will endeavor to notify you through various means such as website banners or email notifications. Your continued use of the services, whether or not notified, signifies your acceptance of the updated terms.
Severability and Waiver: This segment highlights the conditions under which the provisions of these terms can be severed or waived. In the event that any clause within these Terms proves to be unenforceable or invalid, it will not affect the validity and enforceability of the remaining provisions. Furthermore, if Namasam does not immediately act upon any breach of these Terms, it does not indicate a waiver of any rights, including the right to take action at a later time.
Section 17: Content Providers and Integrated Service Providers
Rights of Content Providers: The content providers and integrated service providers associated with Namasam are considered third-party beneficiaries of these Terms. As such, they possess the right to enforce provisions within these Terms that pertain to them, protecting their interests and rights in relation to the services offered by Namasam.

Account Misuse: Share your password, allow unauthorized access to your account, or undertake actions that jeopardize your account's security.
Unauthorized Access: Attempt to access another user's account or non-public areas of our systems without explicit authorization.
Content Misuse: Reproduce, transfer, sell, or misuse any content from our services unless specifically permitted.
Security Breach: Bypass our security measures, test our system's vulnerability, or attempt to break our authentication measures without explicit authorization.
Interference with Services: Interfere with any user, host, or network, for instance, by distributing malware, sending viruses, overloading systems, spamming, or mail-bombing.
Impersonation: Falsely represent your affiliation with any person or entity or impersonate others.
Encouraging Violations: Encourage or assist others in engaging in any prohibited activities listed herein.
Restrictions on Data Usage

Data Scraping: Engaging in any form of data scraping, including screen scraping, web harvesting, or data extraction through manual or automated means, including bots or similar software.
Data Mining: Utilizing content, data, or text from our services for data mining, or to develop or train applications, software, code, or data models, including AI or machine learning models, regardless of the intended use, whether commercial or non-commercial.

We will take necessary actions against accounts that mislead others or violate another entity's trademark rights. This may include modifying, suspending, or terminating the offending accounts.
